1. Acceptance of Terms

Welcome to Klic ("Klic", "we", "our", or "us").

These Terms of Use ("Terms") govern your access to and use of the Klic mobile application, website, and related services (collectively, the "Services").

By accessing, registering for, or using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

2. Nature of the Service

Klic is a technology platform that helps users scan products, manage a cart, complete supported checkout flows, receive receipts, view purchase history, and interact with participating physical retail stores.

Klic is not the seller, manufacturer, distributor, owner, or supplier of products sold by participating stores.

Any purchase transaction is between the user and the participating store, unless explicitly stated otherwise.

3. Eligibility

The Services may be used by users of different ages.

However:

Users must have legal authority to enter into transactions.
Minors may use payment or purchase features only with parental or legal guardian permission.
Klic may restrict access if it believes the Services are being misused.

4. Account Registration

Users may access Klic through supported methods, including:

Google Sign-In
Guest access
Future authentication methods that Klic may support

Users agree to provide accurate information and keep account information updated.

5. Account Security

Users are responsible for:

Keeping their account secure
Protecting their device
Preventing unauthorized access
Notifying Klic immediately of suspected account compromise, device theft, or unauthorized activity

6. Personal and Non-Transferable Account

A Klic account is personal and may not be sold, transferred, shared, or used by unauthorized persons.

Klic may suspend or terminate accounts that are shared, misused, or involved in suspicious activity.

7. Purchases and Store Responsibility

Participating stores are responsible for:

Product descriptions
Product prices
Product availability
Product quality
Product safety
Inventory
Returns
Refunds
Exchanges
Warranties
Consumer protection obligations

Klic provides technology that helps facilitate the shopping and checkout experience, but Klic is not responsible for the store's products, prices, policies, or legal obligations unless required by law.

8. Payment Processing

Klic may support payment through third-party payment providers.

Klic does not currently store full credit card numbers or CVV codes.

Klic may store limited safe display metadata, such as last four digits, card brand, expiration month/year, cardholder name, and a random local card ID.

A transaction should only be considered completed when a real payment provider confirms payment success, or when the app clearly operates in an internal development/demo mode.

Klic may block checkout if payment services are not properly configured.

9. Refunds, Returns, and Cancellations

Refunds, returns, exchanges, cancellations, and warranty claims are handled by the applicable store, unless otherwise required by law.

Klic does not guarantee that a store will approve a refund, return, or exchange request.

10. Receipts and Purchase History

Klic may provide digital receipts and purchase history for convenience.

Users are responsible for verifying transaction details, including product, price, quantity, and store information.

Klic may correct or remove inaccurate records if required.

11. Product Scanning and QR Approval

Klic may use barcode or QR scanning to identify products or support in-store purchase approval.

Approval codes, QR codes, or similar verification methods may expire, may be limited to one use, and may be rejected if suspicious, expired, duplicated, or invalid.

Users may not copy, manipulate, fake, or misuse approval codes.

12. Ratings and User Content

Klic may allow users to submit numeric product ratings.

Users may not submit false, abusive, misleading, unlawful, or fraudulent ratings.

Klic may remove or restrict ratings or future user-generated content at its discretion.

If Klic later allows comments, reviews, images, or other user content, users grant Klic a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, display, reproduce, modify, distribute, and use such content in connection with operating, improving, and promoting the Services.

13. Prohibited Conduct

Users may not:

Attempt to complete purchases without valid payment
Circumvent checkout systems
Fake payment approval
Misuse QR codes or approval codes
Commit fraud
Impersonate another person
Access another user's account
Use bots or automation tools
Reverse engineer the app
Attempt to discover source code
Attack, scan, or overload Klic systems
Introduce malware
Abuse guest access
Use the Services for illegal activity
Interfere with store operations
Exploit bugs or vulnerabilities

Klic may report illegal or fraudulent conduct to relevant authorities.

14. Fraud Prevention and Security Monitoring

Klic may monitor account activity, transaction behavior, device-related signals, and security indicators to detect fraud, abuse, unauthorized access, and violations of these Terms.

15. Account Suspension and Device Blocking

Klic may suspend, restrict, terminate, or permanently block:

Accounts
Devices
Phone numbers
Payment methods
IP addresses
Other identifiers

where Klic suspects fraud, abuse, security risk, violation of these Terms, or illegal activity.

16. Third-Party Services

The Services may rely on third-party services, including authentication providers, backend providers, payment providers, operating system services, and store systems.

Klic is not responsible for third-party service failures, policies, actions, or omissions.

17. Service Availability

Klic does not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

The Services may be unavailable due to maintenance, updates, technical issues, third-party failures, security incidents, or events outside Klic's control.

18. Development, Demo, and Test Features

Klic may include internal development, demo, or testing functionality.

Such functionality is not intended for real commercial use unless explicitly enabled for production.

Users may not rely on demo, simulated, or test payment flows as real payment confirmation.

19. Future Features

Klic may add, modify, or remove features, including:

Payment providers
Loyalty programs
Coupons
Cashback
Store insights
Personalized recommendations
Smart retail integrations
Additional authentication methods
Additional device permissions

Future features may be subject to additional terms or updated policies.

20. Intellectual Property

All rights in Klic, including software, design, branding, logos, trademarks, databases, interfaces, features, content, and documentation, belong to Klic or its licensors.

Users receive only a limited, personal, revocable, non-transferable right to use the Services according to these Terms.

No ownership rights are transferred to users.

21. Aggregated Data

Klic may use aggregated, anonymized, or de-identified information generated through the Services for analytics, product improvement, business intelligence, commercial insights, research, benchmarking, and development.

22. Privacy

Use of the Services is also governed by the Klic Privacy Policy.

By using the Services, you acknowledge that Klic may process information as described in the Privacy Policy.

23. Force Majeure

Klic will not be liable for delay, failure, interruption, or inability to provide the Services caused by events beyond its reasonable control, including:

Cyberattacks
Internet outages
Utility failures
War
Terrorism
Civil unrest
Natural disasters
Government actions
Labor disputes
Pandemics
Third-party failures

24. Disclaimer of Warranties

The Services are provided "as is" and "as available."

To the maximum extent permitted by law, Klic disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, and non-infringement.

25. Limitation of Liability

To the maximum extent permitted by law, Klic will not be liable for:

Indirect damages
Incidental damages
Special damages
Consequential damages
Lost profits
Lost revenue
Lost opportunities
Loss of data
Store-related disputes
Product defects
Pricing errors by stores
Refund or warranty decisions by stores

26. Maximum Liability

To the maximum extent permitted by law, Klic's total liability for any claim relating to the Services will not exceed the total amount paid by the user through Klic during the twelve months before the event giving rise to the claim.

27. Indemnification

Users agree to indemnify and hold Klic, its founders, employees, contractors, partners, affiliates, and service providers harmless from claims, damages, losses, liabilities, costs, and expenses arising from:

Misuse of the Services
Violation of these Terms
Fraudulent activity
Illegal conduct
Unauthorized access
Violation of another person's rights

28. Account Deletion and Termination

Users may request or initiate account deletion.

Klic may retain certain information after deletion where required or permitted by law, including for legal, accounting, fraud-prevention, security, or dispute-resolution purposes.

Klic may also terminate or restrict access to the Services at any time if these Terms are violated.

29. Changes to the Services

Klic may change, suspend, discontinue, or limit any part of the Services at any time.

Klic may also introduce new features, remove existing features, or change how features operate.

30. Changes to These Terms

Klic may update these Terms from time to time.

Updated Terms will be posted in the app, on the website, or through another appropriate method.

Continued use of the Services after changes take effect means you accept the updated Terms.

31. Limitation Period

To the maximum extent permitted by law, any claim relating to the Services must be brought within one year from the date the claim arose.

Claims filed after that period may be permanently barred.

32. Governing Law

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules.

33. Jurisdiction

Any dispute arising from or relating to the Services will be subject to the exclusive jurisdiction of the competent courts in the Central District of Israel.

2. אופי השירות

Klic היא פלטפורמה טכנולוגית המסייעת למשתמשים לסרוק מוצרים, לנהל עגלה, להשלים תהליכי תשלום נתמכים, לקבל קבלות, לצפות בהיסטוריית רכישות ולתקשר עם חנויות קמעונאיות פיזיות משתתפות.

Klic אינה המוכר, היצרן, המפיץ, הבעלים או הספק של מוצרים הנמכרים על ידי חנויות משתתפות.

כל עסקת רכישה היא בין המשתמש לבין החנות המשתתפת, אלא אם צוין במפורש אחרת.

3. כשירות

בשירותים עשויים להשתמש משתמשים בגילאים שונים.

עם זאת:

על המשתמשים להיות בעלי סמכות חוקית להתקשר בעסקאות.
קטינים רשאים להשתמש בתכונות תשלום או רכישה רק באישור הורה או אפוטרופוס חוקי.
Klic רשאית להגביל גישה אם היא סבורה שנעשה שימוש לרעה בשירותים.

4. רישום חשבון

משתמשים רשאים לגשת ל-Klic באמצעות שיטות נתמכות, לרבות:

כניסה באמצעות Google
גישת אורח
שיטות אימות עתידיות שבהן Klic עשויה לתמוך

המשתמשים מתחייבים למסור מידע מדויק ולשמור על עדכניות פרטי החשבון.

5. אבטחת חשבון

המשתמשים אחראים ל:

שמירה על אבטחת חשבונם
הגנה על מכשירם
מניעת גישה בלתי מורשית
הודעה מיידית ל-Klic על חשד לפריצת חשבון, גניבת מכשיר או פעילות בלתי מורשית

6. חשבון אישי ושאינו ניתן להעברה

חשבון Klic הוא אישי ואינו ניתן למכירה, להעברה, לשיתוף או לשימוש על ידי גורמים בלתי מורשים.

Klic רשאית להשעות או לסיים חשבונות המשותפים, נעשה בהם שימוש לרעה, או מעורבים בפעילות חשודה.

7. רכישות ואחריות החנות

חנויות משתתפות אחראיות ל:

תיאורי מוצרים
מחירי מוצרים
זמינות מוצרים
איכות מוצרים
בטיחות מוצרים
מלאי
החזרות
החזרים כספיים
החלפות
אחריות (warranties)
חובות הגנת הצרכן

Klic מספקת טכנולוגיה המסייעת בחוויית הקנייה והתשלום, אך Klic אינה אחראית למוצרי החנות, למחיריה, למדיניותה או לחובותיה החוקיות, אלא אם נדרש על פי חוק.

8. עיבוד תשלומים

Klic עשויה לתמוך בתשלום באמצעות ספקי תשלום של צד שלישי.

Klic אינה שומרת כיום מספרי כרטיסי אשראי מלאים או קודי CVV.

Klic עשויה לשמור מטא-נתונים מוגבלים ובטוחים לתצוגה, כגון ארבע ספרות אחרונות, מותג הכרטיס, חודש/שנת תפוגה, שם בעל הכרטיס ומזהה כרטיס מקומי אקראי.

עסקה תיחשב כהושלמה רק כאשר ספק תשלום אמיתי מאשר את הצלחת התשלום, או כאשר האפליקציה פועלת באופן ברור במצב פיתוח/הדגמה פנימי.

Klic רשאית לחסום את התשלום אם שירותי התשלום אינם מוגדרים כראוי.

9. החזרים, החזרות וביטולים

החזרים כספיים, החזרות, החלפות, ביטולים ותביעות אחריות מטופלים על ידי החנות הרלוונטית, אלא אם נדרש אחרת על פי חוק.

Klic אינה מתחייבת שחנות תאשר בקשת החזר, החזרה או החלפה.

10. קבלות והיסטוריית רכישות

Klic עשויה לספק קבלות דיגיטליות והיסטוריית רכישות לנוחותך.

המשתמשים אחראים לאמת את פרטי העסקה, לרבות מוצר, מחיר, כמות ופרטי חנות.

Klic רשאית לתקן או להסיר רשומות שגויות במידת הצורך.

11. סריקת מוצרים ואישור QR

Klic עשויה להשתמש בסריקת ברקוד או QR לזיהוי מוצרים או לתמיכה באישור רכישה בחנות.

קודי אישור, קודי QR או שיטות אימות דומות עשויים לפוג, עשויים להיות מוגבלים לשימוש חד-פעמי, ועשויים להידחות אם הם חשודים, פגי תוקף, כפולים או לא תקפים.

המשתמשים אינם רשאים להעתיק, לשנות, לזייף או לעשות שימוש לרעה בקודי אישור.

12. דירוגים ותוכן משתמש

Klic עשויה לאפשר למשתמשים להגיש דירוגים מספריים למוצרים.

המשתמשים אינם רשאים להגיש דירוגים כוזבים, פוגעניים, מטעים, בלתי חוקיים או הונאתיים.

Klic רשאית להסיר או להגביל דירוגים או תוכן עתידי שנוצר על ידי משתמשים לפי שיקול דעתה.

אם Klic תאפשר בעתיד תגובות, ביקורות, תמונות או תוכן משתמש אחר, המשתמשים מעניקים ל-Klic רישיון עולמי, לא בלעדי, ללא תמלוגים, ניתן להעברה ולמתן רישיון משנה, לאחסן, להציג, לשכפל, לשנות, להפיץ ולהשתמש בתוכן כאמור בקשר עם הפעלת השירותים, שיפורם וקידומם.

13. התנהגות אסורה

המשתמשים אינם רשאים:

לנסות להשלים רכישות ללא תשלום תקף
לעקוף מערכות תשלום
לזייף אישור תשלום
לעשות שימוש לרעה בקודי QR או בקודי אישור
לבצע הונאה
להתחזות לאדם אחר
לגשת לחשבון של משתמש אחר
להשתמש בבוטים או בכלי אוטומציה
לבצע הנדסה לאחור של האפליקציה
לנסות לגלות את קוד המקור
לתקוף, לסרוק או להעמיס על מערכות Klic
להחדיר תוכנה זדונית
לעשות שימוש לרעה בגישת אורח
להשתמש בשירותים לפעילות בלתי חוקית
להפריע לפעילות החנות
לנצל באגים או פגיעויות

Klic רשאית לדווח על התנהגות בלתי חוקית או הונאתית לרשויות הרלוונטיות.

14. מניעת הונאה וניטור אבטחה

Klic רשאית לנטר פעילות חשבון, התנהגות עסקאות, אותות הקשורים למכשיר ומדדי אבטחה כדי לזהות הונאה, שימוש לרעה, גישה בלתי מורשית והפרות של תנאים אלה.

15. השעיית חשבון וחסימת מכשיר

Klic רשאית להשעות, להגביל, לסיים או לחסום לצמיתות:

חשבונות
מכשירים
מספרי טלפון
אמצעי תשלום
כתובות IP
מזהים אחרים

כאשר Klic חושדת בהונאה, שימוש לרעה, סיכון אבטחה, הפרה של תנאים אלה או פעילות בלתי חוקית.

16. שירותי צד שלישי

השירותים עשויים להסתמך על שירותי צד שלישי, לרבות ספקי אימות, ספקי backend, ספקי תשלום, שירותי מערכת הפעלה ומערכות חנות.

Klic אינה אחראית לכשלים, מדיניות, פעולות או מחדלים של שירותי צד שלישי.

17. זמינות השירות

Klic אינה מתחייבת שהשירותים יהיו תמיד זמינים, ללא הפרעה, מאובטחים או נטולי שגיאות.

השירותים עשויים להיות בלתי זמינים עקב תחזוקה, עדכונים, בעיות טכניות, כשלי צד שלישי, אירועי אבטחה או אירועים שמחוץ לשליטת Klic.

18. תכונות פיתוח, הדגמה ובדיקה

Klic עשויה לכלול פונקציונליות של פיתוח פנימי, הדגמה או בדיקה.

פונקציונליות כזו אינה מיועדת לשימוש מסחרי אמיתי אלא אם הופעלה במפורש לסביבת הייצור.

המשתמשים אינם רשאים להסתמך על תהליכי תשלום הדגמתיים, מדומים או של בדיקה כאישור תשלום אמיתי.

19. תכונות עתידיות

Klic רשאית להוסיף, לשנות או להסיר תכונות, לרבות:

ספקי תשלום
תוכניות נאמנות
קופונים
החזר כספי (cashback)
תובנות לחנויות
המלצות מותאמות אישית
שילובי קמעונאות חכמה
שיטות אימות נוספות
הרשאות מכשיר נוספות

תכונות עתידיות עשויות להיות כפופות לתנאים נוספים או למדיניות מעודכנת.

20. קניין רוחני

כל הזכויות ב-Klic, לרבות תוכנה, עיצוב, מיתוג, לוגו, סימני מסחר, מסדי נתונים, ממשקים, תכונות, תוכן ותיעוד, שייכות ל-Klic או למעניקי הרישיון שלה.

המשתמשים מקבלים רק זכות מוגבלת, אישית, ניתנת לביטול ושאינה ניתנת להעברה, להשתמש בשירותים בהתאם לתנאים אלה.

לא מועברות למשתמשים זכויות בעלות כלשהן.

21. נתונים מצרפיים

Klic עשויה להשתמש במידע מצרפי, אנונימי או נטול זיהוי שנוצר באמצעות השירותים לצורכי אנליטיקה, שיפור מוצרים, בינה עסקית, תובנות מסחריות, מחקר, השוואות ביצועים ופיתוח.

22. פרטיות

השימוש בשירותים כפוף גם למדיניות הפרטיות של Klic.

השימוש בשירותים מהווה אישור ש-Klic עשויה לעבד מידע כמתואר במדיניות הפרטיות.

23. כוח עליון

Klic לא תהיה אחראית לעיכוב, כשל, הפרעה או חוסר יכולת לספק את השירותים שנגרמו עקב אירועים שמחוץ לשליטתה הסבירה, לרבות:

מתקפות סייבר
הפסקות אינטרנט
כשלי תשתיות
מלחמה
טרור
מהומות אזרחיות
אסונות טבע
פעולות ממשלתיות
סכסוכי עבודה
מגפות
כשלי צד שלישי

24. הסרת אחריות

השירותים מסופקים "כפי שהם" ו"כפי שזמינים".

במידה המרבית המותרת בחוק, Klic מסירה כל אחריות, מפורשת או משתמעת, לרבות אחריות לסחירות, התאמה למטרה מסוימת, זמינות, דיוק ואי-הפרה.

25. הגבלת אחריות

במידה המרבית המותרת בחוק, Klic לא תהיה אחראית ל:

נזקים עקיפים
נזקים מקריים
נזקים מיוחדים
נזקים תוצאתיים
אובדן רווחים
אובדן הכנסה
אובדן הזדמנויות
אובדן נתונים
מחלוקות הקשורות לחנות
פגמים במוצרים
שגיאות תמחור של חנויות
החלטות החזר או אחריות של חנויות

26. אחריות מרבית

במידה המרבית המותרת בחוק, אחריותה הכוללת של Klic לכל תביעה הקשורה לשירותים לא תעלה על הסכום הכולל ששילם המשתמש באמצעות Klic במהלך שנים-עשר החודשים שקדמו לאירוע שהוליד את התביעה.

27. שיפוי

המשתמשים מסכימים לשפות ולפטור את Klic, מייסדיה, עובדיה, קבלניה, שותפיה, חברות הקשורות אליה וספקי השירות שלה מכל תביעה, נזק, הפסד, חבות, עלות והוצאה הנובעים מ:

שימוש לרעה בשירותים
הפרת תנאים אלה
פעילות הונאתית
התנהגות בלתי חוקית
גישה בלתי מורשית
הפרת זכויותיו של אדם אחר

28. מחיקת חשבון וסיום

המשתמשים רשאים לבקש או ליזום מחיקת חשבון.

Klic רשאית לשמור מידע מסוים לאחר המחיקה כאשר הדבר נדרש או מותר על פי חוק, לרבות למטרות משפטיות, חשבונאיות, מניעת הונאה, אבטחה או יישוב מחלוקות.

Klic רשאית גם לסיים או להגביל את הגישה לשירותים בכל עת אם תנאים אלה מופרים.

29. שינויים בשירותים

Klic רשאית לשנות, להשעות, להפסיק או להגביל כל חלק מהשירותים בכל עת.

Klic רשאית גם להציג תכונות חדשות, להסיר תכונות קיימות או לשנות את אופן פעולתן של תכונות.

30. שינויים בתנאים אלה

Klic עשויה לעדכן תנאים אלה מעת לעת.

תנאים מעודכנים יפורסמו באפליקציה, באתר או באמצעי מתאים אחר.

המשך השימוש בשירותים לאחר כניסת השינויים לתוקף מהווה הסכמה לתנאים המעודכנים.

31. תקופת התיישנות

במידה המרבית המותרת בחוק, כל תביעה הקשורה לשירותים חייבת להיות מוגשת בתוך שנה אחת מהמועד שבו נוצרה התביעה.

תביעות שיוגשו לאחר תקופה זו עשויות להיחסם לצמיתות.

32. דין חל

תנאים אלה כפופים לדיני מדינת ישראל, ללא התחשבות בכללי ברירת הדין.

33. סמכות שיפוט

כל מחלוקת הנובעת מהשירותים או הקשורה אליהם תהיה כפופה לסמכות השיפוט הבלעדית של בתי המשפט המוסמכים במחוז המרכז בישראל.
